RS Corporate Finance is delighted to have been nominated for Transaction Services Team of the Year for the third year in a row.
During the year, we have continued to act for several regular returning clients who know the quality of the services and support we offer by working closely with them, as well as our philosophy of keeping them fully updated with material issues as they arise during our work. These returning acquirers/investors and the feedback across our transaction service client base is testament to the tireless work our team put in to ensure clients can enter transactions with confidence.
Some examples of our work this year include:
Providing financial and tax due diligence ahead of an historic merger of two regional law firms to create a £40m turnover practice. Our work did not involve just a written report, we presented at a number of executive board and full partnership meetings. Our added value was being able to demonstrate a detailed knowledge of partnership structures and was able to quickly identifying any material issues to the client Partners and demonstrating the potential impact of the merger on them collectively and individually. With stakeholders at different levels of seniority in the partnership group and with different age profiles this ability to address the concerns of all individuals was invaluable to the stakeholders.
Working with FPE Capital backed Optimity on its acquisition of Pebble IT. This was the second business the RS Corporate Finance reviewed for the Optimity team. RS Corporate Finance initially met with Pebble IT and quickly identified that the business would fit well with Optimity’s portfolio. There were several commercial issues identified during our review, but the RS Corporate Finance worked sensitively with all parties to ensure the deal got across the line.
Acting for a lending bank and the buyer on the acquisition of a software solution business. As is common with some SME businesses, detailed financial information was limited. We spent considerable time with the target’s external accountant, analysed operational data and carried out a deep dive into the targets complex spreadsheet database. Our review was completed on time and to the satisfaction of both the lending bank and the buyers to conclude a successful transaction.
