Roffe Swayne advise shareholders on sale of their business to The Chartered Institute of Personnel and Development (CIPD)
Roffe Swayne Chartered Accountants have advised the shareholders of Bridge Management Training Limited (Bridge) on the sale of their business to The Chartered Institute of Personnel and Development (CIPD).
Bridge specialise in leadership, organisational development and strategic transformation
with clients including Tesco, BP, Asda, Cadbury, PepsiCo and HSBC. Bridge have worked with the CIPD over the last 18 months on its groundbreaking and future
focussed ‘Next Generation HR’ research project. They will continue to work on this and other key projects designed to engage business leaders and the most senior personnel in the HR profession.
The Roffe Swayne team negotiated the transaction on Bridge’s behalf and provided corporate finance and tax advice throughout to assist in reaching a successful conclusion.
‘It was a technically challenging transaction on several levels not least from a structuring perspective, balancing the interests of the Bridge shareholders with the needs of the CIPD imposed by their charitable status’ said Matthew Katz, Roffe Swayne Associate Partner. ‘The four advisers worked closely together to deliver the transaction to a tight deadline and good communication between all of us was essential given the complications.’
Roffe Swayne worked alongside Osborne Clark advising the shareholders, with Grant Thornton and Shoosmiths advising the purchaser.
The Roffe Swaye team was led by Matthew Katz, Associate Partner Corporate finance. The Osborne Clark team was led by Dan Wright, Partner and Sarah Knight, solicitor. The Shoosmith’s team was led by Sanjeev Sharma, Partner and the Grant Thornton team by David Brooks, Partner and Tim Blois, Director.
Commenting on the transaction, Mark Leigh, Head of Corporate Finance at Roffe Swayne said ‘This further enforces Roffe Swayne’s credentials as one of the leading corporate finance advisers in the area. Not only can we offer clients and intermediaries corporate finance and tax services which are rarely found outside national firms, but we can offer them with a level of service that is both responsive and personal’.
